Preparation before distribution.
Every engagement follows the same discipline: understand the facts first, design the strategy second, and enter the market only when the transaction is sufficiently prepared. Each step has a defined scope, tangible work products, and an evidence-based decision gate.

Six steps. No shortcuts.
Discovery + NDA
A confidential conversation about the transaction, the sponsor, and the objective. A non-disclosure agreement (NDA) is executed before any material changes hands.
Triage Intake
A structured intake of the opportunity — entity, ownership, capital requirement, timeline, and current materials — to determine whether the transaction fits the platform and what the engagement would need to address.
Engagement Scope
A defined scope of work with tangible work products, a defined timeline, and defined decision gates. No open-ended retainers; no undefined promises.
Capital Readiness Opinion + Underwriting
The Capital Readiness Opinion and pre-underwriting pass: sources and uses reconciled, assumptions tested, sponsor capacity verified, risks organized into resolution lanes.
Institutional Build
Structure design, evidence cure, data-room organization, executive materials, and management preparation — the complete institutional package, built to survive diligence.
Go · Refine · Pause
An evidence-based decision gate. The transaction advances to controlled market entry, returns for refinement, or pauses — before credibility or relationships are spent.
Three phases of advisory work.
Discover & Define
We establish what is being financed, who is responsible, how proceeds will be used, and how each entity, ownership interest, asset, liability, and cash-flow stream fits together — a reconciled factual foundation across the financial, operational, governance, and execution dimensions of the opportunity.
- Strategic transaction blueprint
- Capital requirement and sources-and-uses reconciliation
- Entity, ownership, and cash-flow map
- Financial-model findings
- Risk and open-item register
- Capital-readiness scorecard
Design & Prepare
The verified blueprint is converted into a financeable and investable strategy. We evaluate structure alternatives, test the economics, define the intended capital audience, cure material evidence gaps, and prepare the client and transaction materials for institutional review.
- Capital-structure comparison and sequencing
- Entity and SPV structure plan
- Pre-underwriting memorandum
- Downside and sensitivity analysis
- Governance and authority memorandum
- Evidence-cure and diligence register
- Executive materials and management presentation
Position & Execute
Once the transaction reaches the appropriate readiness standard, PVH supports a controlled, audience-specific execution process — refining market strategy, preparing management, coordinating information flow, evaluating capital-source feedback, and comparing commercial structures through diligence and closing readiness. Where an activity requires broker-dealer registration or another professional license, it is conducted through the appropriately licensed party under separate documentation.
- Capital-source qualification matrix
- Audience-specific transaction materials
- Management meeting and Q&A preparation
- Diligence-response management
- Term and structure comparison
- Commercial decision memoranda
- Closing-readiness and open-items tracking
Inside a Pre-Underwriting Pass
Before a transaction approaches the market, PVH puts it through the same review a capital source will conduct. A first-pass report identifies lender-sensitive issues, organizes them into resolution lanes, and advances each before outreach begins.
The excerpt below is drawn from an actual engagement. It is deliberately unvarnished: the point of the pass is not to make the file look good, but to make it ready.
Current Review-Lane Status
A first-pass file, organized into resolution lanes before any capital source sees it.
The purpose of this pass is not to produce good news or bad news. The purpose is to identify the issues a capital source will find later and address them while the process is still controlled.
Process-status indicator only. Status may move forward or backward as diligence items are resolved or new issues are identified.
Signed purchase documents support a current site-control framework.
Key facts and figures are reconciled across the contract, summary, offering materials, and model before anything is shown.
No capital-source readiness conclusion is made until liquidity, net worth, guarantee exposure, and completion support are verified.
Entitlements, timing, and off-site obligations are mapped for dependency risk and capital-source sensitivity.
The offering-stage model is converted into one reconciled development underwriting model with draws, reserves, and stress cases.
Prior projects support the concept; operating proof is assembled to support the assumptions at scale.
The capital-stack fit is refined as sponsor capacity, model inputs, and timing are verified.
The file does not go to market until gating items are resolved and the package is reconciled.
Process indicator only; not lender approval, funding probability, legal opinion, appraisal, or commitment to fund

What the discipline protects.
Clarity
Each capital requirement is clearly defined by entity, purpose, amount, timing, and intended audience. Separate needs are not combined into one undifferentiated request.
Credibility
Claims, assumptions, and financial representations are reviewed before market entry. Institutional capital evaluates evidence — not enthusiasm alone.
Relationships
Capital relationships are approached deliberately. The client reaches the appropriate audience with a complete, clearly defined request — not a premature or misdirected submission.
Accountability
Defined scopes, tangible work products, open-item tracking, and decision gates make progress — and remaining risk — visible throughout the engagement.
